AI Text Assistant – Terms of Use

1. Agreement to Terms

By downloading, installing, or using AI Context Utility (“the Application,” “the Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Application.These Terms constitute a legally binding agreement between you and Aporias (“we,” “us,” “our”) regarding your use of the Application.

2. Description of Service

AI Context Utility is a macOS application that integrates with OpenAI’s services to provide AI-powered text processing capabilities through system-wide context menus and keyboard shortcuts. The Application uses macOS Services framework to enable text processing functionality across supported applications.

3. User Eligibility and Requirements

3.1 Eligibility

  • You must be at least 18 years of age (required for OpenAI API access)
  • You must have legal capacity to enter binding agreements
  • You must comply with all applicable laws and regulations

3.2 Technical Requirements

  • macOS 14.6 or later
  • Valid internet connection
  • Personal OpenAI API account and valid API key
  • Sufficient OpenAI API credits for intended usage

4. User Responsibilities

4.1 OpenAI API Requirements

  • You are solely responsible for obtaining and maintaining your OpenAI API account
  • You must comply with OpenAI’s Terms of Service and Usage Policies
  • All OpenAI API charges and fees are your responsibility
  • You warrant that you have the necessary rights to process any content through the Application

4.2 Content Responsibility

  • You retain all rights to your original content
  • You are responsible for ensuring you have permission to process any text through AI services
  • You must not process confidential, proprietary, or sensitive information without proper authorization

5. Prohibited Uses

You agree NOT to use the Application for:

  • Illegal, harmful, or offensive purposes
  • Violating any intellectual property rights
  • Processing copyrighted content without permission
  • Automated scraping or bulk processing beyond normal usage
  • Circumventing usage limits or restrictions
  • Sharing your OpenAI API credentials with third parties
  • Reverse engineering, decompiling, or modifying the Application
  • Any purpose that violates OpenAI’s Terms of Service or Usage Policies

6. Third-Party Services

6.1 OpenAI Integration

  • The Application connects directly to OpenAI’s servers using your API key
  • OpenAI’s Terms of Service and Privacy Policy govern their processing of your content
  • We do not have access to or control over OpenAI’s services
  • Service availability depends on OpenAI’s infrastructure

6.2 Apple App Store

  • Subscription transactions are processed by Apple
  • Apple’s Terms of Service apply to all subscription-related activities
  • Refunds and billing disputes must be resolved through Apple

7. Subscription Terms

7.1 Free Plan

  • Limited daily usage as specified in the Application
  • Subject to usage limits and restrictions
  • No guarantee of service availability

7.2 Premium Subscriptions

  • Unlimited usage within reasonable limits
  • Monthly or annual billing through Apple App Store
  • Subscriptions automatically renew unless cancelled
  • Cancel anytime through Apple App Store settings

7.3 Billing and Refunds

  • All billing handled by Apple App Store
  • Refunds subject to Apple’s refund policy
  • No refunds for unused OpenAI API credits

8. Intellectual Property Rights

8.1 Application OwnershipThe Application and all related intellectual property rights are owned by Aporias. You receive a limited, non-exclusive, non-transferable license to use the Application in accordance with these Terms.8.2 User Content

  • You retain ownership of your original content
  • AI-generated content may not be subject to copyright protection
  • You grant us a limited license to process your content solely for providing the Service

9. Privacy and Data Protection

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of WarrantiesTHE APPLICATION IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.10.2 Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, APORIAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE APPLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.10.3 AI-Generated Content

  • AI-generated content may be inaccurate, inappropriate, or biased
  • You are responsible for reviewing and verifying all AI-generated content
  • We are not responsible for the accuracy or appropriateness of AI responses

11. Indemnification

You agree to indemnify, defend, and hold harmless Aporias from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

  • Your use of the Application
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use of OpenAI services

12. Termination

12.1 Termination by YouYou may terminate your use of the Application at any time by:

  • Uninstalling the software
  • Cancelling your subscription through Apple App Store
  • Discontinuing use of the Service

12.2 Termination by UsWe may terminate or suspend your access to the Application immediately, without prior notice, if you:

  • Breach these Terms
  • Engage in prohibited activities
  • Violate applicable laws or regulations

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through:

  • The Application interface
  • Email notification (if available)
  • Website posting

Your continued use of the Application after such modifications constitutes acceptance of the updated Terms.

14. Governing Law and Dispute Resolution
